1. Definitions

        "Buyer": Carry On Electrical Ltd, including any subsidiary or associated company issuing a Contract, as named in the Order.

        "Supplier": The entity supplying Goods and/or Services as specified in the Order.​

        "Goods": Any items, materials, or equipment to be supplied under the Contract.​

        "Services": All services to be provided as specified in the Order.

        "Order": The Buyer's written instruction to supply Goods and/or Services, incorporating these Terms and Conditions.​

        "Contract": The agreement between the Buyer and the Supplier consisting of the Order, these Terms and Conditions, and any other documents specified in the Order.​

        "Main Contract": Any contract between the Buyer and its client related to the Goods and/or Services.

        "Site": The location where Goods are to be delivered or Services performed.​

        "Intellectual Property Rights": All intellectual property rights, including patents, trademarks, design rights, copyrights, and know-how, whether registered or unregistered.​


2. Acceptance of Terms

        By engaging Carry On Electrical Ltd for any electrical services, the Customer confirms that they have read, understood, and agreed to these Terms & Conditions.

        Any contract or agreement for work made between the Customer and Carry On Electrical Ltd is subject to these conditions. Any terms put forward by the Customer do not apply unless agreed upon in writing.

        No other terms shall be implied by conduct, prior dealings, or trade customs.

        No amendment or modification to these terms shall be valid unless confirmed in writing.


3. Quotations, Deposits & Payment Terms

3.1 Quotations

        All quotations are valid for 30 days from the date issued. If the Customer does not place an order within this period, Carry On Electrical Ltd reserves the right to adjust pricing based on material, labor, or transport costs.

        If the scope of work changes or unforeseen conditions arise, we may revise the quotation and obtain written agreement from the Customer before proceeding.

        If the Customer gives general instructions for repairs without specifying the exact service, Carry On Electrical Ltd reserves the right to determine the necessary repairs and charge accordingly.

3.2 Deposits

        A 50% deposit is required for jobs over £400 before work begins.

        For domestic projects over £1,500 or commercial projects over £3,000, a 30% deposit is required one week before the scheduled start date.

        Deposits are non-refundable if cancellation occurs within 7 days of the scheduled start date.

        The balance of payment is due upon completion of the work unless otherwise agreed.

3.3 Late Payments & Debt Recovery

        Invoices are due to be paid within 7 days from the invoice date unless agreed otherwise in writing.

        Interest of 8% above the Bank of England base rate will apply to overdue payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

        Unpaid debts after 30 days may be referred to a debt recovery agency, or legal proceedings with all recovery costs passed on to the Customer.

3.4 Right to Withhold Test Certificates

        Carry On Electrical Ltd reserves the right to withhold electrical test certificates (e.g., EICR, Minor Works Certificate) until full payment is received.

        This does not affect the Customer’s statutory right to a fully functional and compliant installation, but certification will only be released once the balance is cleared.

3.5 Accepted Payment Methods

4. Cancellations & Rescheduling

4.1 Customer Cancellations

        Standard bookings: Cancellations made less than 7 days before scheduled work will result in forfeiture of the deposit. Unless otherwise agreed.

        Emergency bookings (same-day jobs between 6 PM - 8 AM): Non-refundable due to priority scheduling.

4.2 Cancellation Fees for Larger Projects

        For projects exceeding £1,500 (domestic) or £3,000 (commercial), a 30% deposit is required one week before the scheduled start date.

        Deposits are non-refundable if cancellation occurs less than 7 days before work begins.

        If the Company has purchased special-order materials, the Customer must cover the cost of these materials in full, even if the work is canceled.

4.3 Rescheduling

        Customers may reschedule bookings with at least 24 hours’ notice, subject to availability.

4.4 Carry On Electrical Ltd Cancellations

        We reserve the right to reschedule or cancel bookings due to force majeure events (e.g., supply chain disruptions, adverse weather, emergencies). Customers will be notified as soon as possible.


5. Customer Responsibilities & Site Preparation

5.1 Customer Responsibilities for Access

        Customers must provide safe and clear access to the work area.

        All pets and Animals must be locked away

        The Customer must notify Carry On Electrical Ltd of any hidden pipes, cables, or structural risks before work begins.

        Carry On Electrical Ltd is not liable for damage to concealed water, gas, electrical, internet, or telephone services that were not disclosed by the Customer before work commenced.

5.2 Customer Obligation to Disclose Hidden Services

        The Customer must advise Carry On Electrical Ltd in writing of the location of any concealed services before work begins (e.g., water pipes, gas lines, internet cables, telephone wires).

        Carry On Electrical Ltd is not liable for damage to undisclosed hidden services or any resulting losses.

5.3 Additional Fees for Delays & Obstructions

        If work cannot proceed due to obstructions, site unavailability, or access issues, Carry On Electrical Ltd reserves the right to charge a waiting fee of £50 per hour. Alternatively the job rescheduled for a Charge of £150 If waiting times are believed to exceed 3 hours.

        If work is postponed at the Customer’s request, any additional storage or labor costs incurred will be passed to the Customer.

5.4 Parking, Congestion & Low Emission Charges

        If work is carried out in areas where parking fees, congestion charges, or ULEZ (Ultra Low Emission Zone) fees apply, the Customer agrees to cover these costs.


6. Emergency Call-Outs & Out-of-Hours Work

        Standard working hours: Monday - Friday, 8 AM - 6 PM.

        Emergency call-outs: Same-day bookings between 6 PM - 8 AM are subject to emergency rates.

        Emergency fees are payable in full before work begins.

6.1 Limitations of Emergency Work

        Emergency work is intended to restore functionality or make safe a hazardous situation but may not meet final installation quality standards due to time constraints.

        Customers acknowledge that emergency work may require additional follow-up services.


7. Insurance, Liability & Worksite Conditions

7.1 Insurance Coverage

        Carry On Electrical Ltd is fully insured for public liability.

        Our insurance does not cover damages resulting from pre-existing faults, poor prior installations, or customer negligence.

7.2 Damage Liability

        We are not responsible for structural damage that may occur while accessing electrical wiring or installing fixtures.

        Plastering, painting, or redecoration after electrical work is not included in our Services unless explicitly stated in the quote.


8 Materials, Ownership & Responsibility

8.1 Ownership of Goods & Right to Repossess

        Materials remain the property of Carry On Electrical Ltd until full payment is received.

        If the Customer fails to make payment, Carry On Electrical Ltd reserves the right to repossess materials, regardless of installation status.

        Risk for materials passes to the Customer upon delivery and installation. Any loss, theft, or damage before payment is the Customer’s responsibility.

8.2 Warranty Exclusions for Customer-Supplied Materials

        Carry On Electrical Ltd only guarantees work using materials supplied by us.

        If the Customer supplies their own materials, Carry On Electrical Ltd is not responsible for faults, failures, or incompatibility issues.


9. Warranty & Liability Limitations

9.1 Workmanship Warranty

        All work is covered by a 12-month workmanship warranty from the completion date.

9.2 Warranty Limitations

        The warranty does not cover:

        Customer-supplied materials

        Existing electrical systems over 5 years old

        Customer tampering or modifications to installations

        Faults due to external factors (e.g., power surges, floods, rodents)

9.3 Customer Tampering Voids Warranty

        If a Customer modifies, tampers with, or hires another contractor to alter the electrical installation after completion, the warranty is immediately void.


10. Indemnity Clause (Customer Responsibilities & Third-Party Risks)

        The Customer agrees to indemnify and hold harmless Carry On Electrical Ltd from any claims, damages, or liabilities arising from:

        Customer-supplied materials that fail, cause damage, or are incompatible.

        The Customer’s failure to disclose pre-existing conditions affecting electrical work.

        Any third-party interference, modifications, or work done by another contractor after our job completion.


11. Limitation of Liability (Financial Risk Cap)

        Carry On Electrical Ltd’s total liability for any claim, whether in contract, negligence, or otherwise, shall not exceed the total fee paid by the Customer for the specific service in question.

        Carry On Electrical Ltd is not liable for any indirect, consequential, or financial losses (including lost profits, business disruptions, or additional contractor costs).


12. Right to Refuse Service

Carry On Electrical Ltd reserves the right to refuse or terminate service at any time, including but not limited to situations where:

        A Customer refuses to comply with payment terms.

        There is verbal abuse, harassment, or aggressive behavior toward staff.

        The worksite is unsafe, inaccessible, or unsuitable for the required work.

In such cases, any deposits paid will be non-refundable.


13. Right to Use Job Photos for Marketing (With Customer Permission)

        Carry On Electrical Ltd may request permission to take before-and-after photos of completed work for promotional use.

        No identifying customer details will be shared without explicit consent.

        If a Customer does not wish their project to be featured, they must inform us in writing before work begins.


14. Material Responsibility & Customer-Supplied Equipment

        Carry On Electrical Ltd only guarantees work using materials supplied by us.

        If a Customer chooses to supply their own materials, Carry On Electrical Ltd bears no responsibility for product failures, defects, or compatibility issues.


15. Warranty & Exclusions

15.1 Workmanship Warranty

        All work is covered by a 12-month workmanship warranty from the date of completion.

15.2 Material Warranties

        Materials are covered by the manufacturer’s warranty only.

15.3 Warranty Exclusions

The warranty does not cover:

        Customer misuse, alterations, or third-party tampering

        Damage caused by power surges, flooding, rodent activity, or extreme weather conditions

        Failure due to existing electrical issues not addressed at the time of service

15.4 Voiding of Warranty Due to Customer Interference

        Any modifications, tampering, or third-party work carried out on electrical installations after completion will immediately void all warranties provided by Carry On Electrical Ltd.

        If issues arise after customer interference, Carry On Electrical Ltd reserves the right to refuse remedial work or charge at full rates for corrective services.


16. Subcontractors & Third-Party Work

        Carry On Electrical Ltd may use subcontractors for specialized services (e.g., scaffolding, excavation).

        Subcontractors must meet our quality and safety standards.

        We are not responsible for delays or defects caused by third-party contractors engaged directly by the Customer.


17. Dispute Resolution & Complaints

11.1 Reporting Complaints

        Customers must report complaints within 7 days of job completion.

        We aim to resolve disputes within 14 days through discussion or remedial work.

17.2 Escalation

        If a resolution cannot be reached, disputes must be escalated to a Third Party for independent review.

        Any legal disputes will be settled under UK law in the courts of England and Wales.

17.3 Escalation – Mandatory Mediation

        If a dispute cannot be resolved, both parties agree to engage in mediation through an independent mediator before taking legal action.

        Mediation must be initiated within 14 days of the dispute notice, and both parties must act in good faith to reach a resolution.


18. Contract Termination & Insolvency Protection

        Carry On Electrical Ltd may terminate the contract if the Customer fails to comply with payment terms.

        If the Customer becomes insolvent, enters bankruptcy, or has a receiver appointed, Carry On Electrical Ltd reserves the right to cancel all outstanding contracts immediately.

        If the contract is terminated, Carry On Electrical Ltd is entitled to recover unpaid balances and repossess materials.


19. Force Majeure (Events Beyond Our Control)

        Carry On Electrical Ltd is not liable for service delays or failures due to:

        Supply chain disruptions

        Extreme weather conditions

        Strikes or public emergencies

        Customer site inaccessibility

        Natural disasters (floods, earthquakes, extreme weather).

        Acts of terrorism, war, or civil unrest.

        Government-imposed restrictions or legal changes.

        Supply chain disruptions or industrial action.

If affected, the Customer will be notified as soon as possible.


20. Assignment & Third-Party Work

        The Customer may not assign their contract rights to another party without written approval.

        Carry On Electrical Ltd reserves the right to subcontract Additional work due to time constraints.

        Carry On Electrical Ltd reserves the right to subcontract specialized work (e.g., scaffolding, excavation).

        We are not responsible for work done by third-party contractors hired directly by the Customer.


21. Cooling-Off Period & Consumer Rights

        As per the Consumer Rights Act 2015, the Customer has a 14-day cooling-off period for non-urgent works.

        If the Customer requests work to begin within the 14-day period, this right is waived.

 


22. Contract Amendments & Updates

        Carry On Electrical Ltd reserves the right to update these Terms & Conditions at any time.

        The latest version will always be available on our website, and customers are encouraged to review them periodically.


23. Governing Law & Final Clauses

        These Terms & Conditions are governed by English law.

        Any legal proceedings must be brought in the courts of England & Wales.
